    Terms and Conditions of Use

    Please read these Terms and Conditions carefully before installing or using InFiler. By installing, accessing, or using the InFiler Outlook Add-in or any related services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree, you must not install or use InFiler.

    Section A

    General Terms

    These Terms and Conditions ("Terms") are entered into by and between you ("User," "you," or "your") and Law Spark Inc. ("Law Spark," "we," "our," or "us"), a corporation incorporated under the Canada Business Corporations Act, with its principal place of business in Montréal, Québec, Canada. These Terms govern your access to and use of the InFiler Microsoft Outlook add-in, the InFiler website, and all related features, functionality, and documentation (collectively, "InFiler").

    By installing, accessing, or using InFiler, you accept and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not want to be bound by these Terms, do not access or use InFiler.

    These Terms remain in full force and effect while you use InFiler. All provisions of these Terms that by their nature should survive termination will do so, including ownership provisions, warranty disclaimers, and limitations of liability.

    InFiler is available only to individuals at least eighteen (18) years old. By accessing or using InFiler, you represent and warrant that you are at least eighteen (18) years old and have the full authority, right, and capacity to enter into and abide by these Terms.

    Changes to These Terms

    We may revise and update these Terms from time to time in our sole discretion. When we make material changes, we will update the "Effective date" at the top of this document and notify you by email or by posting a notice within InFiler. Where practicable, material changes will take effect no sooner than thirty (30) days after notice is provided. All changes are effective upon posting and apply to all access to and use of InFiler thereafter.

    Your continued use of InFiler following the posting of revised Terms means that you accept and agree to the changes. If you do not agree to the revised Terms, you must stop using InFiler before the changes take effect.

    Section C

    Microsoft AppSource Distribution

    InFiler is distributed through Microsoft AppSource, the official marketplace for Microsoft Outlook add-ins. By installing InFiler through AppSource, you acknowledge and agree that:

    • Microsoft acts solely as a distributor of the Add-in and is not a party to these Terms;
    • Microsoft does not warrant, support, or assume any responsibility or liability for InFiler or any content or functionality it provides;
    • your installation and use of InFiler through AppSource is also subject to the Microsoft Services Agreement and any applicable Microsoft policies, which you agree to independently; and
    • Law Spark is solely responsible for the Add-in, its content, and any claims you or any third party may have in connection with it, including product liability, compliance with applicable laws, and consumer protection matters.

    To the maximum extent permitted by applicable law, Microsoft and its affiliates, subsidiaries, directors, officers, employees, agents, and licensors are expressly excluded from all warranties, claims, and obligations arising from your use of InFiler.

    Section D

    Accessing InFiler and Account Security

    We reserve the right to withdraw or amend InFiler, or any feature or part thereof, at any time without notice. We will not be liable if all or any part of InFiler is unavailable at any time or for any period.

    To use InFiler, you will be required to authenticate using your Microsoft account through Microsoft Single Sign-On ("SSO") and to configure connections to third-party services using your own credentials. It is a condition of your use of InFiler that all information associated with your Microsoft account is correct, current, and complete.

    You are solely responsible for:

    • maintaining the confidentiality of your account information and all credentials you configure within InFiler;
    • all activity that occurs through your use of InFiler; and
    • notifying us immediately at support@lawspark.co of any unauthorized use of your account or any other security breach.

    Each subscription to InFiler is on a per-seat, per-user basis. InFiler does not currently support shared, team, or firm-level administration accounts. We have the right to disable any account at any time, in our sole discretion, if we believe you have violated any provision of these Terms.

    Section E

    Connected Third-Party Services

    InFiler enables you to connect your own existing accounts with third-party services, including Airtable, Monday.com, Harvest, and Dropbox (collectively, "Connected Services"). All connections to Connected Services are configured and initiated by you. By connecting a third-party account, you authorize InFiler to access and interact with that account on your behalf, solely to perform the actions you explicitly request.

    You are solely responsible for:

    • ensuring that you have the right to connect your third-party accounts to InFiler and to authorize InFiler to act on your behalf with those services;
    • complying with the terms of service, usage policies, and restrictions of each Connected Service;
    • the accuracy and appropriateness of any data you transmit to a Connected Service through InFiler;
    • any fees or costs incurred with your Connected Services, including API usage fees where applicable, as a result of your use of InFiler; and
    • maintaining an appropriate subscription level with each Connected Service, where required to use InFiler's integration with that service; and
    • maintaining the security of the credentials, API keys, or tokens you provide for each Connected Service.

    Law Spark is not affiliated with, endorsed by, or in any formal partnership with the providers of any Connected Service, unless otherwise disclosed. We do not guarantee the availability, performance, accuracy, or security of any Connected Service. Connected Services may change their interfaces, impose restrictions, or become unavailable at any time without notice to us. We are not liable for any interruption or loss of functionality resulting from changes to or unavailability of any Connected Service.

    Content that you direct InFiler to transmit to a Connected Service is subject to that service's privacy policy and terms of service once transmitted. We are not responsible for how Connected Services store, process, or use your data after transmission.

    Section F

    Email Content and Authorization

    By using InFiler to process, file, or transmit the content of any email or attachment, you represent and warrant that:

    • you have the legal right and authority to access, share, and transmit that email content and any attachments contained therein;
    • where the email content includes information belonging to or concerning third parties, including clients, counterparties, or other individuals, you have obtained all necessary authorizations, consents, or permissions required to process and transmit that information; and
    • your use of InFiler to handle such content complies with all applicable laws, professional rules, and any confidentiality obligations you owe to the individuals whose information is contained in that content.

    Law Spark does not review, screen, or verify the content of any emails or attachments processed through InFiler. You are solely responsible for ensuring that the content you process and transmit through InFiler is handled in accordance with your legal and professional obligations.

    Section G

    Intellectual Property Rights

    InFiler and its entire contents, features, and functionality, including all software, design, user interface, branding, logos, and documentation, are owned by Law Spark or its licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws. We reserve all rights not expressly granted to you under these Terms.

    Subject to your compliance with these Terms and payment of any applicable fees, Law Spark grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use InFiler solely for your own personal or internal business purposes during the term of your subscription.

    You retain full ownership of all data, information, and files that you transmit or process through InFiler. Law Spark claims no ownership of your email content, matter information, attachments, time entries, expense data, or any other content you handle through InFiler. By using InFiler, you grant us a limited, non-exclusive licence to access and process your content solely to the extent necessary to provide the functionality you request.

    If you provide us with any feedback, suggestions, or ideas regarding InFiler, you grant Law Spark an irrevocable, worldwide, royalty-free licence to use and incorporate such feedback solely for the purpose of developing, improving, or operating InFiler or any other product or service owned or developed by Law Spark, without any obligation to you.

    Section H

    Prohibited Uses

    You may use InFiler only for lawful purposes and in accordance with these Terms in their entirety. You agree that you will not use InFiler, directly or indirectly:

    • in any way that violates any applicable federal, provincial, local, or international law or regulation, including any applicable rules of professional conduct;
    • in a manner that breaches your confidentiality obligations to your clients or any other professional duties applicable to you;
    • in any manner that defames, threatens, harasses, or discriminates against any person or group;
    • to transmit content that is pornographic, obscene, or otherwise objectionable;
    • to use InFiler for commercial purposes or to service other third-parties, for benchmarking purposes, or to compile content for a competing product or service;
    • to infringe upon the intellectual property rights or privacy rights of any third party; or
    • to engage in any other conduct that restricts or inhibits any person's use or enjoyment of InFiler or that may harm Law Spark or its users.

    Additionally, you agree not to, directly or indirectly:

    • use InFiler in any manner that could disable, overburden, damage, or impair InFiler or interfere with any other party's use of InFiler;
    • use any automated device, script, bot, or means to access or scrape InFiler or any Connected Service;
    • reverse engineer, decompile, tamper with, or disassemble any part of InFiler;
    • introduce any viruses, malware, ransomware, trojan horses, or other harmful code into InFiler or any Connected Service;
    • attempt to gain unauthorized access to any part of InFiler or any account, system, or network connected to InFiler;
    • attack InFiler via a denial-of-service or distributed denial-of-service attack; or
    • remove or obscure any proprietary notices, labels, or branding from InFiler.

    We reserve the right to monitor InFiler to determine compliance with these Terms and to suspend or terminate your access to InFiler immediately and without notice if we determine, in our sole discretion, that you have violated any provision of this Section.

    Section I

    Subscription Plans, Fees, and Billing

    InFiler is offered on a subscription basis, with the following plan tiers currently available: a Free Plan with access to a limited set of features at no charge; a Standard Plan with access to a broader feature set; and a Pro Plan with access to the full feature set. Standard and Pro Plans are billed per seat on a monthly or annual basis, as selected at the time of subscription. The specific features included in each plan, applicable pricing, and usage limits are described on our InFiler pricing page and may be updated from time to time.

    Subscription Inclusions: Your subscription grants access to the features listed for your selected plan on infiler.io at the time of sign-up. As new features are released for InFiler, your subscription will be automatically updated to include features applicable to your plan at no additional charge, unless otherwise specified.

    Subscription Term: Your Subscription Term begins on the date you complete registration and select a subscription plan. Subscriptions are available on a monthly or annual basis, as selected at sign-up. A monthly subscription renews on the same day each month as your original sign-up date. An annual subscription renews on the same calendar date each year as your original sign-up date.

    Upgrades and Downgrades. You may upgrade or downgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the start of the next billing cycle. No credits or proration are provided for mid-cycle downgrades.

    Cancellation. You may cancel your subscription or delete your account with us at any time through your account settings or by contacting us at support@lawspark.co. Upon cancellation, you will retain access to paid features until the end of the current billing cycle, after which your account will revert to the Free Plan (if available) or be terminated.

    For the avoidance of doubt, the following do not constitute cancellation of a paid plan or termination of your account: (i) failing to update or revoking a payment method on file; or (ii) any purported cancellation or termination notice from a party other than InFiler.

    Section J

    Fees and Billing

    Payment Processing. Payment for paid subscription plans is processed by Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize Law Spark to charge the payment method on file for all applicable fees on a recurring basis at the start of each billing cycle. Your payment information is collected and stored by Stripe and is subject to Stripe's own terms and privacy policy. Law Spark does not store payment card numbers on its servers.

    Auto-renewal. Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. For annual subscriptions, Law Spark will send a reminder notice at least thirty (30) days before the renewal date.

    Taxes. All subscription fees are exclusive of applicable taxes, including GST, HST, QST, or other applicable sales or value-added taxes. You are responsible for all such taxes associated with your purchase, and we may add them to your invoice as required by applicable law.

    No Refunds. All fees for paid subscription plans are non-refundable. Once a billing cycle has been initiated and payment has been processed, no refunds, credits, or proration will be provided for any reason, including early cancellation, failure to use InFiler, or changes to the feature set during a billing period. Notwithstanding the foregoing, we may, in our sole and absolute discretion, issue credits or partial refunds in exceptional circumstances. The issuance of a refund in any instance does not create an obligation to do so in any other.

    Suspension for Non-Payment. If any fees due under your subscription plan remain unpaid within thirty (30) days of the failed payment attempt, we reserve the right to suspend your access to paid features until payment is received.

    Section J

    Privacy and Data

    Our collection, use, disclosure, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using InFiler, you consent to the collection and use of your information as described in the Privacy Policy.

    Connection settings and credentials you configure in InFiler are stored locally on your device. Email content and attachments are accessed only when you explicitly initiate an action and are transmitted directly to your Connected Services. Data processed on our servers to complete a requested action is not retained after that operation is complete. We retain your account data for as long as your account is active. Upon account termination, we will delete your personal data within 30 days, except where a longer retention period is required by applicable law.

    We do not use your email content, attachments, or matter data to train, fine-tune, or otherwise develop any artificial intelligence or machine learning model. If you are subject to the General Data Protection Regulation (GDPR) or similar data protection legislation, you may request a Data Processing Agreement by contacting support@lawspark.co.

    Section K

    Modifications to InFiler and Pricing

    We reserve the right to modify, suspend, or discontinue any aspect of InFiler at any time, including features, integrations, and pricing, with reasonable advance notice where practicable. For material changes to features or functionality, we will use reasonable efforts to provide at least thirty (30) days' advance notice. For changes to pricing on existing paid subscriptions, we will provide at least thirty (30) days' prior written notice by email. All pricing is subject to change, and such notice may be provided by email or in-platform notification.

    We will use reasonable efforts to provide advance notice of material changes where practicable. All pricing is subject to change upon notice, which may be provided by email or in-platform notification.

    From time to time, we may make available features identified as beta, preview, or early access. Such features are experimental, may not be reliable, and may produce inaccurate or incomplete results. You agree to use these features at your own risk, and Law Spark disclaims all liability arising from your use of them. You remain solely responsible for reviewing and verifying any results produced by such features before relying on them.

    Your continued use of InFiler after any modification constitutes your acceptance of the revised InFiler. If you do not accept a material modification, you may cancel your subscription before it takes effect.

    Section M

    Links to Third-Party Sites

    InFiler and our website may contain links to third-party websites and resources. These links are provided for your convenience only. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you access any third-party websites linked through InFiler, you do so entirely at your own risk and subject to the terms and conditions of use of those websites.

    Section N

    Copyright Infringement Reporting

    We take claims of copyright infringement seriously. If you believe that material made available through InFiler infringes a copyright you own or control, please send a written notice to support@lawspark.co that includes substantially the following:

    • your name and contact information, including email address;
    • a description of the copyrighted work you claim has been infringed;
    • identification of the material you believe to be infringing and sufficient information to allow us to locate it;
    • a statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or applicable law;
    • a statement that the information in your notice is accurate; and
    • a statement, made under penalty of applicable law, that you are authorized to act on behalf of the copyright owner.

    We will review notices submitted in good faith and take appropriate action in accordance with applicable law. Please note that knowingly submitting a false infringement notice may expose you to liability. It is our policy to suspend or terminate the accounts of users who are found to be repeat infringers.

    Section O

    Monitoring and Enforcement; Termination

    We have the right to:

    • take any action with respect to any user that we deem necessary or appropriate in our sole discretion, including if we believe that user has violated these Terms or infringed any right of any person or entity;
    • disclose your identity or other information about you to any third party who claims that material transmitted by you through InFiler violates their rights, to the extent required or permitted by applicable law (including applicable privacy legislation);
    • take appropriate legal action, including referral to law enforcement, for any illegal or unauthorized use of InFiler; and
    • terminate or suspend your access to all or part of InFiler for any or no reason, including any violation of these Terms.

    We may terminate your access to InFiler immediately if you fail to pay fees when due, violate these Terms, or if we reasonably determine that termination is necessary to protect the security, integrity, or reputation of InFiler or to comply with applicable law. We will attempt to provide at least 30 days' advance notice if we elect to discontinue InFiler entirely.

    Section P

    Disclaimer of Warranties

    INFILER AND ALL MATERIALS, CONTENT, AND FUNCTIONALITY MADE AVAILABLE THROUGH INFILER ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH NO REPRESENTATIONS OR WARRANTIES WHATSOEVER. LAW SPARK AND ITS LICENSORS EXPRESSLY DISCLAIM TO THE FULLEST EXTENT PERMITTED BY LAW ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

    LAW SPARK DOES NOT REPRESENT OR WARRANT THAT INFILER WILL: (I) BE UNINTERRUPTED OR SECURE; (II) BE FREE OF DEFECTS, INACCURACIES, OR ERRORS; (III) MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS; (IV) OPERATE IN CONJUNCTION WITH ALL HARDWARE, SOFTWARE, OR THIRD-PARTY SERVICES YOU USE; OR (V) BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

    YOU AGREE THAT YOUR USE OF INFILER WILL BE AT YOUR SOLE RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY LOSS OF DATA OR OTHER HARM THAT RESULTS FROM YOUR USE OF INFILER.

    Section Q

    Limitation of Damages

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LAW SPARK, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, EXEMPLARY, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ATTORNEYS' FEES, ARISING OUT OF OR IN ANY WAY RELATED TO INFILER, REGARDLESS OF THE CAUSE OF ACTION, EVEN IF LAW SPARK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    IN NO EVENT WILL THE TOTAL AGGREGATE LIABILITY OF LAW SPARK IN CONNECTION WITH INFILER EXCEED THE GREATER OF: (A) THE TOTAL SUBSCRIPTION FEES YOU PAID TO LAW SPARK IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100). NOTWITHSTANDING THE FOREGOING, THE LIABILITY CAP IN THIS SECTION SHALL NOT APPLY TO: (I) DEATH OR BODILY INJURY CAUSED BY LAW SPARK'S NEGLIGENCE; (II) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (III) ANY OTHER LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED BY APPLICABLE LAW.

    Some jurisdictions do not permit the exclusion or limitation of certain warranties or liability for certain types of damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by applicable law. Nothing in these Terms is intended to limit any rights you may have under applicable consumer protection legislation in the Province of Québec that cannot be waived by contract.

    Section R

    Indemnity

    You agree to defend, indemnify, and hold harmless Law Spark and its directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (i) your use of or access to InFiler in violation of these Terms or any applicable law; (ii) content or data you transmit or process through InFiler; (iii) your connection to and use of any Connected Service through InFiler; (iv) your violation of any third party's rights, including intellectual property rights, privacy rights, or confidentiality obligations; or (v) any claim by a third party arising from your use of InFiler.

    Law Spark reserves the right, at its own cost, to assume exclusive control of any matter otherwise subject to indemnification by you. You may not settle, compromise, or otherwise dispose of any such claim without our prior written consent.

    Law Spark will defend, indemnify, and hold harmless you from and against any third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (i) any allegation that InFiler, as provided by Law Spark, infringes any third party's intellectual property rights; or (ii) any data breach or unauthorized disclosure of your personal information caused by Law Spark's negligence or willful misconduct.

    Section S

    Governing Law and Dispute Resolution

    These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

    You irrevocably submit to the exclusive jurisdiction of the courts of the Province of Québec, sitting in the judicial district of Montréal, for the resolution of any dispute arising out of or relating to these Terms or InFiler. You waive any objection to the laying of venue of any such dispute in those courts.

    If you have a dispute with us, we encourage you to contact us first at support@lawspark.co before taking formal action, to allow us an opportunity to resolve the matter amicably.

    Limitation Period. Any claim or cause of action arising out of or related to your use of InFiler or these Terms must be commenced within one (1) year after the claim or cause of action arose. Claims not brought within that period are permanently barred, to the maximum extent permitted by applicable law, subject to any mandatory statutory limitation periods that cannot be shortened or waived by contract under applicable law.

    Section T

    Waiver and Severability

    No failure or delay by Law Spark in exercising any right under these Terms will constitute a waiver of that right. A waiver of any provision of these Terms must be in writing signed by an authorized representative of Law Spark to be effective.

    If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

    Section U

    General Provisions

    Entire Agreement. These Terms, together with our Privacy Policy and any other policies incorporated herein by reference, constitute the entire agreement between you and Law Spark with respect to InFiler and supersede all prior agreements, understandings, and representations relating to its subject matter.

    Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms at any time, including in connection with a merger, acquisition, or sale of assets, without your consent.

    Force Majeure. Law Spark will not be liable for any failure or delay in performance to the extent caused by events beyond our reasonable control, including internet infrastructure failures, cyberattacks, or governmental action.

    Language. The parties have requested that these Terms and all related documents be drafted in English. Les parties ont demandé que la présente convention et tous les documents connexes soient rédigés en anglais.
